01Acceptance of terms

By accessing or using the Alirion website (the "Site") or any information or service we make available through it, you agree to be bound by these Terms and Conditions (the "Terms") and by our Privacy Policy. If you do not agree, please do not use the Site. If you use the Site on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

02Definitions

• "Alirion", "we", "us", "our" — the entity operating the Site and providing the services.
• "You", "your" — the individual or organisation accessing or using the Site.
• "Content" — text, graphics, code, documentation, and other materials made available through the Site.
• "Services" — the data, machine-learning, AI-agent, and governance services Alirion offers, as described on the Site or in a separate agreement.

03Eligibility

You must be of legal age to form a binding contract in your jurisdiction to use the Site for business purposes. The Site is intended for businesses and professionals and is not directed at children.

04Our services

The Site provides information about Alirion and our Services. Any engagement to deliver Services is governed by a separate written agreement between you and Alirion, which will set out scope, fees, service levels, data processing terms, and other commercial details. In the event of a conflict between these Terms and a signed services agreement, the services agreement prevails for that engagement.

We may modify, suspend, or discontinue any part of the Site at any time without liability, though we will try to give reasonable notice of material changes.

05Open-source components

Some of our work — including AML, our format for describing AI agents — is published as open source. Open-source software is licensed to you under the terms of its applicable open-source licence, which accompanies that software in its repository, and not under these Terms. Nothing in these Terms limits your rights, or adds obligations, beyond those open-source licences in respect of that software.

06Acceptable use

When using the Site, you agree not to:

• Use the Site in any way that breaches applicable law or regulation.
• Attempt to gain unauthorised access to the Site, its servers, or related systems.
• Interfere with or disrupt the integrity or performance of the Site.
• Introduce malware or any other harmful or disruptive code.
• Scrape, harvest, or collect data from the Site except as expressly permitted.
• Infringe the intellectual property or other rights of Alirion or any third party.

07Intellectual property

Except for open-source components and third-party materials, the Site and its Content — including the Alirion name, logo, wordmark, and visual identity — are owned by or licensed to Alirion and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your internal, lawful purposes. No other rights are granted. You may not use our trademarks without our prior written consent.

08Third-party links & services

The Site may link to third-party websites and services, including code repositories, that we do not control. We provide these links for convenience and do not endorse, and are not responsible for, the content, policies, or practices of any third party. Your use of third-party properties is governed by their own terms.

09Privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge that personal data will be processed as set out in that policy.

10Disclaimers

The Site and its Content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that the Content is accurate, complete, or current. Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law.

11Limitation of liability

To the maximum extent permitted by applicable law, Alirion and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site. Where liability cannot be excluded, our total aggregate liability arising out of the Site is limited to the greater of the amount you paid us (if any) for access to the Site, or the minimum amount permitted by applicable law. Nothing here limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

12Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Alirion from and against any claims, damages, losses, and reasonable expenses arising out of your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

13Term & termination

These Terms apply while you use the Site. We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms or applicable law. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

14Governing law & disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules, and the courts of Singapore have non-exclusive jurisdiction over any dispute arising out of them. This does not deprive you of the protection of mandatory consumer or data protection laws of the country in which you reside — including Indonesia, the Philippines, and Thailand — and, where those laws apply, you may also have the right to bring proceedings, or be subject to proceedings, in your home jurisdiction. Where we enter into a separate services agreement with you, the governing law and dispute-resolution clauses of that agreement apply to that engagement.

15Changes to these terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
